Corporate Paralegal

About the Role
Join a legal team providing support on a wide range of corporate matters, including entity management, governance, and transactional work. This full-time Corporate Paralegal role is ideal for someone who enjoys working on complex legal documentation, staying organized across multiple priorities, and contributing to the success of a high-performing legal department.

What You’ll Do

  • Draft and maintain corporate documents, including formation paperwork, bylaws, board resolutions, and annual filings

  • Manage and track corporate entities, ensuring compliance with jurisdictional requirements

  • Assist with due diligence, signature packet preparation, and closing checklists for corporate transactions

  • Support attorneys with regulatory filings, contracts, and other corporate records

  • Coordinate with internal stakeholders and outside counsel on corporate governance matters

  • Organize and maintain corporate databases and document management systems

  • Help prepare materials for board meetings and manage minute books

What You’ll Need

  • Prior experience as a corporate paralegal in a law firm or in-house legal department

  • Strong understanding of corporate entity formation, maintenance, and governance

  • Experience supporting mergers, acquisitions, financings, or other corporate transactions

  • Excellent organizational and document management skills

  • Proficiency in Microsoft Office and legal database systems

  • Strong attention to detail, written communication, and time management

  • Ability to work independently and handle multiple deadlines
